/ 1Definitions
In these Terms of Sale for services (the "Terms"), the following terms shall have the meaning ascribed to them below:
- Supplier
- Forgeron3, a simplified joint-stock company (SAS) with a share capital of €170,000, having its registered office at 45 rue Frédéric Joliot Curie CS 10002, 13382 Marseille Cedex 13, registered with the Marseille Trade and Companies Register under number 985 093 715.
- Customer
- Any natural person or legal entity subscribing to a subscription or specific services in connection with the Software.
- Software
- SaaS software solution developed by Forgeron3, using agents and artificial intelligence (AI) models to analyse and deliver content.
- Terms
- Terms of Sale for services.
- Special Terms
- Special Terms of Sale, drawn up in connection with specific services and supplementing the Terms.
- Terms of Use
- General Terms of Use for the website.
- SaaS
- Software as a Service — a software distribution model in which applications are hosted by a provider and accessed via the Internet, without installation on the user's device.
- AI
- Artificial Intelligence refers to the ability of computer systems to perform tasks that normally require human intelligence: speech recognition, natural language understanding, machine learning, autonomous decision-making, complex data analysis.
- Intelligent assistant
- A software solution using AI and machine learning technologies to automate and optimise certain tasks or processes, in order to facilitate decision-making, information management and the execution of specific actions. Although designed to provide tailored recommendations, the assistant may carry a risk of error. Its use is placed under the user's supervision, who remains responsible for the final decisions.
/ 2Purpose
The purpose of these Terms is to define the terms and conditions under which the Supplier provides the Customer with access to the Software.
/ 3Acceptance of the Terms
Subscribing to the Software implies the Customer's unreserved acceptance of these Terms.
/ 4Service description
The Supplier provides the Customer with a SaaS software solution allowing the analysis and delivery of content through AI agents and models. The Customer accesses the Software via a secure web interface.
/ 5Access and use conditions
5.1 Access to the Software
The Software is accessible 24 hours a day, 7 days a week, except in the event of scheduled maintenance or force majeure.
5.2 Login credentials
The login credentials provided to the Customer are personal, confidential and non-transferable. The Customer is responsible for their use and safekeeping.
/ 6Pricing and payment terms
6.1 Pricing
The prices of subscriptions to the Software are indicated on the Supplier's website. They are expressed in euros, all taxes included.
Where, in view of the specific technical features required by the Customer, a tailored Software solution may be offered, this service is proposed at a specific price set out in a quotation which, once accepted, forms an integral part of the Special Terms of Sale agreed with the Customer. These Special Terms supplement the present Terms.
6.2 Payment
Subscription payments are made by credit card or any other means of payment offered by the Supplier. Payment is due on the subscription date and at each renewal.
6.3 Late payment
In the event of late payment, late-payment penalties calculated on the basis of three times the legal interest rate shall apply. The Supplier reserves the right to suspend access to the Software until full payment of the sums due. The flat-rate recovery fee of €40 provided for in Article L441-10 of the French Commercial Code is payable from the first day of late payment, without the need for a prior reminder.
/ 7Term and termination
7.1 Term
Several subscription packages are offered to the Customer depending on their needs and the technical specificities of the products. Each subscription may be taken out, at the Customer's choice, for a term ranging from a few weeks to several months, and is renewable at each expiry by tacit renewal on the same conditions as those chosen at the time of subscription.
7.2 Termination
The Customer may terminate their subscription at any time via their customer area on the Software's web interface. Termination shall take effect at the end of the commitment period mentioned in section 7.1.
In the event of a serious breach by one of the parties of its obligations, including in particular payment incidents and non-compliance with regulations relating to personal data, the subscription may be terminated as of right after a formal notice has remained without effect for a period of no less than 14 calendar days. Where termination results from the Customer's actions, it does not release the Customer from the payment of sums due for the commitment period of the subscription, nor from any incidental costs.
/ 8Obligations and liability
8.1 Supplier's obligations
The Supplier undertakes to use all necessary means to ensure access to the Software and its proper functioning, without being bound by an obligation of result.
8.2 Supplier's liability
The Supplier shall not be held liable for indirect damages suffered by the Customer, such as loss of data, loss of profits, or any other financial loss. The Supplier's liability is limited to the amount actually paid by the Customer under the current subscription.
8.3 Customer's obligations
The Customer undertakes to use the Software in accordance with its purpose, with these Terms and with any Special Terms of Sale. The Customer expressly acknowledges that they are responsible for backing up their own data.
/ 9Intellectual property
The Supplier remains the exclusive owner of all intellectual property rights relating to the Software. The Customer undertakes not to reproduce, modify, or create derivative works based on the Software, save with the Supplier's prior written authorisation.
The Customer remains the exclusive owner of all intellectual property rights in the data they provide when using the Software. The Customer undertakes to use the Software in compliance with the intellectual property rights of any third parties. The Customer acknowledges being solely responsible for the use they make of such data.
/ 10Personal data
The Customer's personal data is collected and processed in accordance with the Supplier's privacy policy.
The Customer expressly undertakes to comply with the Forgeron3 Charter on the proper use of AI in relation to personal data.
/ 11Force majeure
Neither party shall be held liable for any failure to perform its contractual obligations in the event of a force majeure event, as defined by the case law of the French courts.
/ 12Amendments to the Terms
The Supplier reserves the right to amend these Terms. Any amendment will be notified to the Customer by any appropriate means. In the event of disagreement with the amendments made, the Customer may terminate their subscription in accordance with the procedures set out in section 7.2.
/ 13Governing law and jurisdiction
These Terms are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution. Failing this, the Marseille courts shall have exclusive jurisdiction.
/ 14Website Terms of Use
14.1 Acceptance of the Terms of Use
Access to and use of the forgeron3.fr website implies the user's unreserved acceptance of these Terms of Use. By browsing the site, the user acknowledges that they have read the Terms of Use and undertakes to comply with them.
14.2 Intellectual property
All content on the forgeron3.fr website — including, without limitation, texts, images, graphics, logos, icons, sounds and software — is the exclusive property of Forgeron3 or its partners. Any reproduction, distribution, modification, adaptation, retransmission or publication of these elements, even partial, is strictly prohibited without the written consent of Forgeron3.
14.3 User's liability
The user undertakes to use the forgeron3.fr website in accordance with applicable laws and regulations. In particular, the user shall refrain from:
- Infringing the intellectual property rights of Forgeron3 or third parties;
- Introducing onto the site viruses, Trojan horses, or any other harmful program;
- Attempting unauthorised access to Forgeron3's information systems.
14.4 Availability of the site
Forgeron3 endeavours to keep the forgeron3.fr website accessible 24 hours a day, 7 days a week. However, Forgeron3 cannot be held liable in the event of unavailability of the site, for any reason whatsoever (maintenance, updates, technical issues, etc.).
14.5 Hyperlinks
The forgeron3.fr website may contain links to third-party sites. Forgeron3 has no control over these sites and disclaims any liability as to their content or privacy policies.
14.6 Personal data
Personal data collected via the forgeron3.fr website is processed in accordance with Forgeron3's privacy policy. Users have the right of access, rectification and deletion of their data, which they may exercise by contacting Forgeron3.
14.7 Amendments to the Terms of Use
Forgeron3 reserves the right to amend these Terms of Use at any time. Amendments will take effect as soon as they are published on the site. Users are advised to regularly consult the Terms of Use to take note of any amendments.
